Brief Submission Terms

These Brief Submission Terms ("Terms") apply when you use the brief submission tool at brief.rxproperty.com.au ("Brief Tool") operated by Stickland Realty Pty Ltd ACN 652 946 953 ABN 96 652 946 953 trading as RX Property Australia ("RX Property", "we", "us", "our").
By submitting a brief through the Brief Tool, you agree to be bound by these Terms and our Privacy Policy. The RX Property Disclaimer is incorporated into these Terms by reference and forms part of them.
If you do not agree, you must not submit a brief.
1. Purpose and Scope of the Brief Tool
- The Brief Tool allows you to submit a preliminary outline of your healthcare commercial property requirements to RX Property for review.
- Submission of a brief is an information-gathering and introduction step only. The Brief Tool does not provide property, legal, financial, taxation, planning, regulatory, accreditation, or healthcare-specific advice.
- The Brief Tool does not provide a search of all available properties and is not a complete or definitive market scan. Any opportunities subsequently surfaced are preliminary and illustrative only and may not include all properties available within your stated criteria.
2. No Agency or Engagement
- Submission of a brief does not appoint RX Property as your agent, tenant representative, buyer's agent, fiduciary, adviser, retained consultant, or exclusive broker, and does not create any engagement, retainer, or authority to act on your behalf.
- An agency, advisory, or representation relationship arises only on execution of a separate written Agency Agreement in the form prescribed by RX Property for the relevant Australian jurisdiction.
- Where you wish to access off-market opportunities, receive vendor or landlord-disclosed teaser material, or engage RX Property to act on your behalf in respect of any property, you will be invited to access the RX Property client portal (Rx app) and complete the customer induction process, which is governed by the separate Rx App Client Portal Terms of Engagement.
3. Submission and Authority
- You warrant that the information you submit is accurate, current, and complete to the best of your knowledge.
- You warrant that you are authorised to submit the brief on behalf of any person, partnership, company, trust, or other entity identified in the submission, and to bind that entity to these Terms.
- You acknowledge that RX Property may rely on the information you submit without independent verification.
4. How Your Brief Is Handled
- On submission, your brief is recorded in RX Property's systems and may be reviewed by an RX Property consultant.
- RX Property may, at its absolute discretion:
- contact you to discuss the brief;
- present opportunities that, in our preliminary assessment, may be relevant to the brief;
- invite you to access the Rx app client portal;
- decline to act on the brief without obligation to provide reasons; or
- take no action.
- Any opportunities presented are preliminary only. You must conduct your own due diligence and obtain independent legal, financial, taxation, planning, building, healthcare regulatory, accreditation, and licensing advice before acting on any opportunity.
5. Healthcare Property Matters
- RX Property does not warrant or represent, in connection with any opportunity surfaced through the Brief Tool, the:
- Building Code of Australia classification, including Class 9a healthcare classification;
- permitted use under the relevant Local Environmental Plan, Development Control Plan, or equivalent planning instrument;
- existence or scope of any development consent, change of use approval, or building approval;
- suitability for any particular healthcare service, modality, or clinical use;
- eligibility under the Distribution Priority Area (DPA), Modified Monash Model (MMM), or section 19AB Health Insurance Act 1973 (Cth) frameworks, or any successor or equivalent framework;
- building services capacity, including electrical load, hydraulic capacity, mechanical services, medical gas provision, or telecommunications;
- car parking ratio, accessibility, or loading provisions;
- accreditation pathway under any relevant healthcare accreditation scheme; or
- fitout condition, fitout-readiness, or timeframe to occupancy.
- You acknowledge that healthcare property suitability turns on matters that require specialist professional review and that you will obtain such review before committing to any transaction.
6. Conflicts and Fee Sources
- RX Property may act for, be paid by, or receive a benefit, commission, referral fee, or other consideration from landlords, vendors, purchasers, tenants, developers, project managers, financiers, or other parties in respect of any opportunity surfaced through the Brief Tool or any subsequent transaction.
- Where a material conflict or potential material conflict of interest arises, RX Property will disclose it in writing in accordance with the disclosure obligations applicable in the relevant Australian jurisdiction, including the Property and Stock Agents Act 2002 (NSW) and equivalent legislation in other jurisdictions in which RX Property operates.
- You acknowledge and consent to RX Property acting in the manner described in clause 6.1, subject to compliance with applicable legislation.
7. Confidentiality of Brief Information
- RX Property will treat commercially sensitive information contained in your brief with reasonable care.
- You acknowledge and agree that, in order to respond to your brief, RX Property may disclose relevant brief details to landlords, vendors, owners, agents, developers, project managers, consultants, and other service providers where, in our reasonable judgement, disclosure is necessary or expedient to respond to the brief.
- Where you require enhanced confidentiality protection, including non-disclosure undertakings from third parties, you must request this in writing before submission and RX Property will determine, at its discretion, whether such protection can be provided.
8. Privacy
- Personal information you submit is collected, held, used, and disclosed in accordance with the RX Property Privacy Policy, available at rxproperty.com.au/privacy-policy/, and the Privacy Act 1988 (Cth).
- By submitting a brief, you consent to the collection, use, storage, and disclosure of your personal information for the purposes described in the Privacy Policy, including disclosure to third parties engaged by RX Property in the ordinary course of servicing the brief.
9. Limitation of Liability
- To the maximum extent permitted by law, RX Property is not liable for any loss, damage, cost, or expense (including consequential, indirect, or purely economic loss) arising from:
- any opportunity not being surfaced or being surfaced incompletely;
- any inaccuracy in third-party information relied on by RX Property;
- changes in market conditions, planning rules, healthcare policy, or regulatory framework;
- any decision made by you in reliance on preliminary information surfaced through the Brief Tool prior to formal due diligence; or
- any matter for which RX Property has expressly disclaimed warranty or representation under these Terms.
- Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law or other applicable law.
10. Licensed Capacity
- RX Property operates under the real estate agency licences held by Stickland Realty Pty Ltd in the Australian states and territories specified on RX Property's Compliance Information page at rxproperty.com.au/compliance/.
- Bryce Stickland is the Licensee in Charge of Stickland Realty Pty Ltd and additionally holds personal real estate licences under mutual recognition in the jurisdictions specified on the Compliance Information page.
11. Intellectual Property
- The Brief Tool, its design, content, and underlying systems are owned by, or licensed to, RX Property. You must not copy, modify, reverse engineer, scrape, or commercially exploit any part of the Brief Tool.
12. Changes to These Terms
- RX Property may update these Terms from time to time. The version of the Terms in force at the time of your brief submission applies to that submission. The current version is published at brief.rxproperty.com.au/terms.
13. Governing Law and Contact
- These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from those courts.
